User Agreement for Spilt, LLC, dba Spilt Reviews

1. Acceptance of Terms

By accessing or using Spilt Reviews' website (“Site”) app  and services, you (“User”) agree to comply with and be bound by this User Agreement (“Agreement”). If you do not agree to these terms, please do not use our Site, app or services.

2. Description of Services

 

Spilt Reviews provides a platform for local influencers to post video reviews of restaurants. Users can view, share, and comment on these videos.

 

3. User-Generated Content (UGC)

 

Users may submit content, including but not limited to videos, comments, and reviews (“User Content”). By submitting User Content, you grant Spilt Reviews a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media. You represent and warrant that you own or have the necessary rights to the User Content and that its use will not infringe upon or violate the rights of any third party.

 

4. Prohibited Conduct

 

Users agree not to:

 • Post content that is defamatory, obscene, offensive, or violates any law or regulation.

 • Infringe upon the intellectual property rights of others.

 • Post false or misleading information.

 • Engage in activities that could harm the reputation of Spilt Reviews or its users.

 

5. Content Moderation

 

Spilt Reviews reserves the right to review, edit, or remove any User Content that violates this Agreement or is deemed inappropriate at our sole discretion. Users are encouraged to report any content they believe violates these terms.

 

6. Intellectual Property Rights

 

All content on the Site and app, excluding User Content, is the property of Spilt Reviews or its licensors and is protected by copyright, trademark, and other intellectual property laws. Users may not use, reproduce, or distribute any content from the Site without prior written permission from Spilt Reviews.

 

7. Privacy

8. Disclaimers

 

Spilt Reviews provides the Site, App and services “as is” and makes no representations or warranties of any kind, express or implied, regarding the content or availability of the Site, App or services. 9. Limitation of Liability

 

To the fullest extent permitted by law, Spilt Reviews shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Site; (b) any unauthorized access to or use of our servers and/or any personal information stored therein.

 

10. Indemnification

 

You agree to indemnify and hold harmless [Company Name], its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney’s fees, arising out of or in any way connected with your access to or use of the Site or services, or your violation of this Agreement.

 

11. Changes to the Agreement

 

Spilt Reviews reserves the right to modify this Agreement at any time. Any changes will be effective immediately upon posting on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new terms.

 

12. Governing Law

 

This Agreement shall be governed by and construed in accordance with the laws of the Maryland, USA without regard to its conflict of law principles.
